By accessing, browsing, registering for, or using the DonutJobs platform, website, applications, APIs, or any related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by: (a) These Terms of Service; (b) Our Privacy Policy (incorporated herein by reference); (c) Our Data Processing Disclosure (Section 2.7, incorporated herein); (d) Our Acceptable Use Policy (Section 6, incorporated herein); and (e) Any supplemental terms, policies, or guidelines posted on the Platform. 1.3. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Platform. Continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes. 1.4. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such case, "you" and "your" shall refer to such entity. 1.5. By clicking "I Agree," creating an account, or accessing the Platform, you consent to the use of electronic records and signatures in connection with these Terms, in accordance with the United States Electronic Signatures in Global and National Commerce Act (15 U.S.C. Section 7001 et seq.), the Uniform Electronic Transactions Act, and equivalent electronic transaction laws in your jurisdiction. 1.6. Covenant Regarding Dispute Procedures. As a condition of creating an account or using the Platform, you covenant that you will not initiate, join, or participate in any legal proceeding, regulatory complaint, or organized public campaign against DonutJobs arising from your use of the Platform, except through the dispute resolution procedures set forth in Section 15 of these Terms. This covenant does not limit your right to file complaints with governmental regulatory authorities where such right cannot be waived under Mandatory Local Law, including but not limited to the Philippine National Privacy Commission and data protection supervisory authorities in the EEA or United Kingdom.

2. Nature Of The Platform And Relationship Of Parties

2.1. DonutJobs is a technology platform that provides online job board, applicant tracking, hiring workflow automation, talent pool, and communication software functionality ("Services"). The Platform enables employers ("Employers") to post job listings, manage candidate pipelines, and access talent pools of registered jobseekers, and enables job seekers ("Jobseekers") to discover and apply for employment opportunities. 2.2. DonutJobs is not, and shall not be construed as, any of the following: (a) An employer, joint employer, or co-employer; (b) A staffing agency, recruitment agency, or labor contractor; (c) A payroll provider or professional employer organization; (d) An outsourcing or business process outsourcing provider; (e) A party to any employment, contractor, or engagement relationship between Users; or (f) A provider of legal, tax, immigration, or compliance advisory services. 2.3. DonutJobs does not: (a) Make, influence, or control hiring or termination decisions; (b) Set, negotiate, or guarantee compensation, benefits, or working conditions; (c) Supervise, direct, or evaluate User performance; (d) Verify the legal compliance of any employment arrangement; (e) Guarantee the accuracy, authenticity, or legality of any User-submitted content; or (f) Assume any obligation arising from the relationship between Employers and Jobseekers. 2.4. All employment, independent contractor, or engagement relationships exist solely and exclusively between the relevant Employer and Jobseeker. DonutJobs is a neutral technology intermediary and bears no responsibility for the conduct, decisions, or obligations of any User.

2.5. Public Nature of the Platform 2.5.1. DonutJobs is a public job board and talent marketplace. You acknowledge and agree that certain data you submit to the Platform is intended to be publicly accessible to facilitate the Platform's core purpose of connecting Employers and Jobseekers. 2.5.2. The following categories of User-submitted data are publicly visible by default ("Public Data"): (a) Jobseeker profiles, including name, professional title, skills, work experience, education, location, language proficiency, assessment scores, and any other information submitted as part of the Jobseeker profile; (b) Employer profiles, including company name, company description, logo, and location; (c) Job listings, including job title, description, requirements, compensation range (if provided), and location; and (d) Any other content you voluntarily publish or post on publicly accessible areas of the Platform. 2.5.3. The following categories of data are not publicly visible ("Private Data"): (a) Account credentials (passwords, authentication tokens); (b) Private messages and communications between Users; (c) Payment information; (d) Internal account settings and preferences; and (e) Data explicitly designated as private by Platform functionality. 2.5.4. By submitting Public Data to the Platform, you acknowledge and agree that: (a) Such data will be accessible to any person or entity with internet access, including other Users, non-registered visitors, search engines, web crawlers, and third-party services; (b) DonutJobs has no obligation to restrict access to, screen, or limit the distribution of Public Data; (c) Public Data may be indexed by search engines and may appear in search results outside the Platform; (d) Once Public Data is accessed or copied by third parties, DonutJobs has no ability to control its further use, distribution, or retention by those third parties; (e) You have no expectation of privacy with respect to Public Data; (f) You voluntarily assume all risks associated with making Public Data publicly available, including the risk of unwanted contact, data harvesting by third parties, identity misuse, or replication of your data on other platforms; and (g) You are solely responsible for determining what information to include in your public profile or listings, and you should not submit any information you wish to keep private. 2.5.5. DonutJobs expressly disclaims all liability for any loss, damage, claim, or harm arising from the public availability of Public Data, including without limitation: unauthorized use of Public Data by third parties; data scraping or harvesting by third parties (notwithstanding DonutJobs' prohibition of such activity in Section 11.3); identity theft or misuse; reputational harm; unwanted contact or solicitation; or any other consequence of data being publicly accessible on the internet. 2.5.6. You may modify or remove your Public Data at any time through your account settings. However, you acknowledge that: (a) cached or archived versions of your Public Data may persist on third-party services (including search engine caches) after removal from the Platform; and (b) Public Data that has been accessed, copied, or downloaded by third parties prior to removal cannot be recalled or deleted by DonutJobs.

2.6. Automatic Profile Creation 2.6.1. By registering for an account as a Jobseeker, you understand and agree that the Platform will automatically generate a publicly visible Jobseeker profile ("Jobseeker Profile") using the information you provide during and after registration, including but not limited to your name, professional title, skills, work experience, education, location, language proficiency, and assessment scores. 2.6.2. Creation of a Jobseeker Profile is a mandatory and integral feature of the Platform for Jobseeker accounts. You cannot register as a Jobseeker without a Jobseeker Profile being created. If you do not wish to have a public profile, do not register as a Jobseeker. 2.6.3. Your Jobseeker Profile is Public Data as defined in Section 2.5.2(a) and is subject to all provisions of Section 2.5, including public visibility, search engine indexing, and the associated disclaimers and risk assumptions. 2.6.4. You may edit your Jobseeker Profile at any time through your account settings. You may request deletion of your Jobseeker Profile by deleting your account, subject to the limitations described in Sections 2.5.6 and 2.7.7.

2.7. Talent Pool and Commercial Use of Jobseeker Data 2.7.1. DonutJobs operates a commercial Talent Pool feature ("Talent Pool") through which Jobseeker Profiles and associated Public Data are made available to Employers who subscribe to paid plans on the Platform. The Talent Pool is a core revenue-generating feature of the Platform. 2.7.2. By creating a Jobseeker account, you expressly and specifically consent to the following commercial uses of your Jobseeker Profile and Public Data: (a) Inclusion in the Talent Pool, which is accessible to Employers with active paid subscriptions; (b) Display, distribution, and presentation of your Jobseeker Profile to paying Employers through the Platform's search, filtering, matching, and recommendation features; (c) Use of your Public Data in aggregated, anonymized, or statistical form for analytics, benchmarking, marketing materials, and reporting; and (d) Inclusion in curated candidate shortlists, automated matching results, or recommended candidate lists presented to Employers. 2.7.3. For the avoidance of doubt: DonutJobs charges Employers for access to the Talent Pool as part of its subscription plans. Jobseekers do not receive compensation for inclusion in the Talent Pool. The commercial nature of this arrangement is a fundamental condition of the free Jobseeker account. 2.7.4. DonutJobs does not sell your personal data to third parties in the sense of transferring ownership or providing unrestricted bulk data exports. Employer access to Jobseeker Profiles is provided through the Platform interface and is governed by these Terms and the Employer's subscription agreement. Employers may not scrape, bulk download, or redistribute Jobseeker data outside the Platform (see Section 11.3). 2.7.5. Employers accessing the Talent Pool are bound by these Terms and are prohibited from using Jobseeker data for any purpose other than evaluating candidates for legitimate employment or engagement opportunities. Prohibited uses include, without limitation: reselling or redistributing Jobseeker data; using Jobseeker data for unsolicited marketing unrelated to employment; and compiling Jobseeker data into competing databases or platforms. 2.7.6. DonutJobs reserves the right to modify, expand, or restrict the Talent Pool feature, including the scope of data available to Employers, at any time and at its sole discretion. 2.7.7. If you wish to withdraw consent to inclusion in the Talent Pool, you may do so by deleting your Jobseeker account. Upon account deletion: (a) your Jobseeker Profile will be removed from the active Talent Pool within a commercially reasonable timeframe, not to exceed thirty (30) days; (b) anonymized or aggregated data derived from your profile that can no longer be attributed to you individually may be retained indefinitely; and (c) Employers who have previously accessed, saved, or downloaded your profile information prior to deletion may retain that information, and DonutJobs has no ability to compel its deletion from Employer systems.

2.8. Platform Communications 2.8.1. Communications transmitted through the Platform (including messages between Employers and Jobseekers) are processed and stored on DonutJobs' infrastructure. By using the Platform's communication features, you consent to the transmission, storage, and processing of such communications. 2.8.2. DonutJobs may access, review, or disclose communications: (a) to operate and maintain the Platform; (b) to investigate violations of these Terms or the Acceptable Use Policy; (c) to respond to lawful legal process; or (d) to protect the safety or rights of any person. DonutJobs is not responsible for the content of communications between Users.

3. Eligibility And Age Restriction

3.1. The Platform is intended solely for individuals who are at least eighteen (18) years of age. By using the Platform, you represent and warrant that you are at least 18 years old and have full legal capacity to enter into a binding contract in your jurisdiction of residence. 3.2. Use of the Platform by any individual under the age of 18 is strictly prohibited. We do not knowingly collect, process, or store personal data from individuals under 18. If we become aware that a User is under 18, we will promptly terminate their account and delete associated personal data. 3.3. You further represent and warrant that your use of the Platform does not violate any applicable law, regulation, order, or contractual obligation to which you are subject.

4. Employer Responsibilities And Legal Compliance

4.1. Employers are solely and exclusively responsible for compliance with all applicable laws, regulations, and standards in connection with their use of the Platform and any employment relationships arising therefrom, including without limitation: (a) Federal, state, local, and international employment and labor laws; (b) Anti-discrimination and equal opportunity laws (including but not limited to Title VII of the Civil Rights Act of 1964, the Age Discrimination in Employment Act, the Americans with Disabilities Act, and equivalent foreign legislation); (c) Wage and hour laws, including minimum wage, overtime, and payment timing requirements; (d) Worker classification laws (employee vs. independent contractor); (e) Tax withholding, reporting, and remittance obligations; (f) Immigration and work authorization requirements; (g) Data protection and privacy laws applicable to employee and candidate data (including, where applicable, Republic Act No. 10173 of the Philippines and the EU General Data Protection Regulation); (h) Occupational health and safety requirements; and (i) Any industry-specific regulations applicable to the Employer's business. 4.2. DonutJobs does not verify, audit, or monitor Employer compliance with any of the foregoing. Employers assume full and exclusive responsibility for all hiring decisions, employment terms, and legal obligations. 4.3. Employers acknowledge that cross-border hiring carries additional legal complexity, including but not limited to foreign labor law compliance, tax treaty obligations, and immigration requirements. Employers are solely responsible for obtaining qualified legal counsel regarding cross-border employment arrangements. 4.4. Employers accessing the Talent Pool (Section 2.7) acknowledge that Jobseeker data obtained through the Platform may be subject to the data protection laws of the Jobseeker's jurisdiction of residence, including but not limited to the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) and its implementing rules. Employers are solely responsible for their own compliance with such laws when processing Jobseeker personal data obtained through the Platform.

5. Platform Tools, Filtering, And Anti-Discrimination

5.1. The Platform may provide search, filtering, sorting, and organizational tools that allow Users to refine candidate or job listing results based on criteria including, but not limited to: (a) Geographic location or time zone; (b) Language proficiency; (c) Professional skills and qualifications; (d) Assessment or test scores administered through the Platform; (e) Work experience and employment history; and (f) Availability and work schedule preferences. 5.2. These tools are neutral technical functionalities designed to facilitate efficient matching between Employers and Jobseekers. The availability of any filter does not constitute a recommendation, endorsement, or encouragement to filter candidates on any unlawful basis. 5.3. Employers are solely responsible for ensuring that their use of any Platform tool, filter, or feature complies with all applicable anti-discrimination, equal opportunity, and civil rights laws in their jurisdiction. DonutJobs expressly prohibits the use of Platform tools to discriminate against any individual on the basis of race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, genetic information, marital status, veteran status, or any other characteristic protected by applicable law. 5.4. DonutJobs: (a) Does not endorse, recommend, or facilitate discriminatory hiring practices; (b) Does not evaluate or monitor Employer decision-making criteria; (c) Does not provide legal advice regarding the legality of any filtering decision; and (d) Reserves the right, but assumes no obligation, to remove, restrict, or flag job postings or account activity that DonutJobs reasonably believes may violate applicable law or these Terms. 5.5. Employers agree that they will not use the Platform in any manner that violates civil rights or anti-discrimination laws, and that they will indemnify and hold harmless DonutJobs from any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from any alleged or actual discriminatory practices by Employer.

5.6. Algorithmic Ranking, Scoring, and Automated Processing 5.6.1. The Platform may use automated systems, algorithms, scoring models, and heuristics (collectively, "Automated Tools") to rank, sort, score, match, recommend, or otherwise organize Jobseeker profiles, job listings, and candidate pipelines. Automated Tools include, without limitation: profile completeness scores ("DonutScore"), candidate-job matching algorithms, automated candidate assignment to pipeline stages, swipe-based candidate presentation queues, and smart filtering features. 5.6.2. Automated Tools are provided as productivity aids for Employers and organizational aids for Jobseekers. Automated Tools do not make hiring decisions. All hiring, rejection, engagement, and termination decisions are made solely by Employers. DonutJobs bears no responsibility for any employment outcome influenced by or correlated with the output of any Automated Tool. 5.6.3. DonutJobs does not warrant or represent that any Automated Tool is accurate, unbiased, complete, or suitable for any particular purpose. Automated Tool outputs are probabilistic and may produce results that are incorrect, incomplete, or that inadvertently correlate with protected characteristics. Employers are solely responsible for evaluating Automated Tool outputs and for ensuring that their reliance on such outputs complies with all applicable law, including anti-discrimination, equal opportunity, and algorithmic accountability laws in their jurisdiction. 5.6.4. DonutJobs may modify, retrain, discontinue, or replace any Automated Tool at any time, without notice, and without liability for changes in output, ranking, scoring, or candidate presentation resulting therefrom. 5.6.5. To the maximum extent permitted by applicable law, DonutJobs disclaims all liability arising from or related to the operation, output, or use of Automated Tools, including without limitation: claims of algorithmic bias, disparate impact, or discriminatory effect; claims of inaccurate scoring, ranking, or matching; claims of reduced visibility, unfavorable ranking, or exclusion from candidate pools; and claims arising under any algorithmic accountability, automated decision-making, or artificial intelligence law or regulation in any jurisdiction.

5.7. AI Assistants, MCP Integrations, and Employer-Connected Tools 5.7.1. The Platform may allow Employers to connect third-party artificial intelligence tools, agentic software, Model Context Protocol ("MCP") clients, automation systems, or similar external tools ("Connected AI Tools") to their DonutJobs account. Connected AI Tools may access, retrieve, summarize, organize, draft, or act upon data available to the Employer through the Platform, including Jobseeker Profiles, applications, assessment results, pipeline stages, Team Member notes, Chat messages, job listings, and related hiring workflow data. 5.7.2. Employers are solely responsible for selecting, configuring, authorizing, supervising, and securing any Connected AI Tool they connect to the Platform. Employers acknowledge that use of a Connected AI Tool may transmit Jobseeker personal data to third-party providers selected by the Employer, and that such providers' processing is governed by the Employer's relationship with those providers, not by DonutJobs, except where DonutJobs expressly acts as the provider or subprocesses data on the Employer's behalf. 5.7.3. Connected AI Tools are provided or enabled solely as productivity aids. They do not make hiring, rejection, engagement, termination, compensation, or other employment-related decisions. Employers must exercise independent human judgment and must review all AI-generated outputs before relying on them, sending communications, moving candidates between pipeline stages, publishing jobs, rejecting candidates, or taking any other action that may affect a Jobseeker. 5.7.4. Employers may not use Connected AI Tools to discriminate against, rank, exclude, target, or otherwise make decisions about Jobseekers on the basis of race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, genetic information, marital status, veteran status, pregnancy, health status, ethnicity, citizenship, immigration status, or any other characteristic protected by applicable law. Employers are solely responsible for ensuring that their use of Connected AI Tools complies with all applicable employment, anti-discrimination, data protection, privacy, consumer protection, and artificial intelligence laws. 5.7.5. Employers must not use Connected AI Tools to scrape, bulk export, resell, redistribute, enrich, profile, train models on, or otherwise process Jobseeker data for purposes unrelated to legitimate hiring or engagement opportunities. Employers must maintain appropriate confidentiality, access controls, human oversight, and security safeguards for all tokens, API keys, prompts, outputs, and data made available to Connected AI Tools. 5.7.6. Jobseekers acknowledge that Employers may use Connected AI Tools to assist with hiring workflows, including summarizing applications, drafting messages, organizing pipelines, preparing candidate shortlists, or reviewing Platform data. DonutJobs does not control Employer-selected Connected AI Tools and is not responsible for an Employer's use, misuse, retention, disclosure, or onward transfer of Jobseeker data through such tools, except to the extent prohibited by Mandatory Local Law. 5.7.7. DonutJobs may log, monitor, rate-limit, suspend, revoke, or restrict Connected AI Tool access to protect Platform security, investigate abuse, enforce these Terms, comply with law, or reduce risk to Users. DonutJobs may modify, suspend, or discontinue Connected AI Tool functionality at any time without liability. 5.7.8. To the maximum extent permitted by applicable law, DonutJobs disclaims all liability arising from or related to Connected AI Tools, including without limitation: inaccurate, incomplete, biased, unlawful, or discriminatory outputs; Employer reliance on AI-generated content; unauthorized access caused by Employer token or credential handling; third-party AI provider processing; and any employment outcome influenced by a Connected AI Tool.

5.8. Employer-Created Forms 5.8.1. The Platform provides a form builder feature ("Form Builder") that enables Employers to create, distribute, and manage custom data collection forms ("Employer Forms"). Employer Forms may be distributed to Jobseekers via the Platform's messaging features, embedded in job application flows, or shared via publicly accessible URLs. 5.8.2. Employers are the sole data controllers (as defined under applicable data protection law) for all data collected through Employer Forms. DonutJobs acts as a data processor with respect to Employer Form responses, processing such data on behalf of and at the instruction of the Employer, solely for the purpose of operating the Form Builder feature. 5.8.3. Employers are solely and exclusively responsible for: (a) the content, legality, and appropriateness of questions included in Employer Forms; (b) compliance with all applicable data protection, privacy, and anti-discrimination laws in connection with data collected through Employer Forms; (c) providing any required privacy notices or disclosures to respondents; (d) obtaining any required consent from respondents for the collection and processing of their data; and (e) the accuracy, security, and appropriate use of data collected through Employer Forms. 5.8.4. DonutJobs does not review, screen, approve, or monitor the content of Employer Forms. DonutJobs bears no responsibility for any data collected through Employer Forms, including sensitive personal information, identity documents, financial information, or other data that Employers may choose to solicit. 5.8.5. Employer Form responses are stored on DonutJobs' infrastructure and are accessible to the Employer and authorized team members (see Section 5.9). DonutJobs may delete Employer Form responses in accordance with Section 17 or upon account termination. 5.8.6. To the maximum extent permitted by applicable law, DonutJobs disclaims all liability arising from or related to Employer Forms, including without limitation: claims arising from unlawful, discriminatory, or inappropriate questions; claims arising from the collection, storage, or processing of sensitive personal information solicited by Employers; and claims arising from unauthorized access to or disclosure of Employer Form response data.

5.9. Team Collaboration and Multi-User Access 5.9.1. The Platform provides collaboration features that allow multiple authorized individuals within an Employer's organization ("Team Members") to access and manage the Employer's account, including but not limited to: job listings, candidate applications, chat threads with Jobseekers, Jobseeker profile data, Employer Form responses, pipeline stages, and file attachments. 5.9.2. Employers are solely responsible for: (a) determining which individuals are granted Team Member access; (b) assigning appropriate access roles (owner, member, or viewer); (c) revoking access for individuals who should no longer have it; and (d) ensuring that all Team Members comply with these Terms, applicable data protection laws, and any confidentiality obligations. 5.9.3. By communicating with an Employer through the Platform, Jobseekers acknowledge and agree that their messages, profile data, application information, assessment results, form responses, and file attachments may be accessible to multiple Team Members within the Employer's organization, and not solely to the individual who initiated the conversation. 5.9.4. DonutJobs does not monitor, audit, or control the actions of Team Members. DonutJobs bears no responsibility for any unauthorized access, disclosure, modification, or deletion of data by Team Members, including deletion of chat file attachments. Employers are solely liable for all actions taken by their Team Members on the Platform.

5.10. User Blocking and Reporting 5.10.1. The Platform provides features that allow Employers to block Jobseekers ("Block") and to report Users for suspected violations of these Terms or applicable law ("Report"). A Block prevents further communication between the blocked Jobseeker and the Employer's organization and may result in the automatic withdrawal or rejection of pending applications. 5.10.2. A Block applies at the organizational level: if an Employer blocks a Jobseeker, the Block applies across all job listings and Team Members associated with that Employer's account. 5.10.3. DonutJobs is not obligated to: (a) review, investigate, or adjudicate any Block or Report; (b) notify a blocked or reported User of the Block or Report, or the reasons therefor; (c) provide an appeals process for blocked or reported Users; or (d) take any action in response to a Report. DonutJobs may, but is not obligated to, investigate Reports and take action at its sole discretion. 5.10.4. To the maximum extent permitted by applicable law, DonutJobs disclaims all liability arising from or related to Blocks and Reports, including claims of wrongful blocking, lost employment opportunities, reputational harm, or retaliation.

5.11. Assessments, Skills Testing, and Voice Samples 5.11.1. The Platform may offer or facilitate skills assessments, aptitude evaluations, proficiency tests, and other evaluative tools ("Assessments"), which may include without limitation: typing speed tests, English language proficiency evaluations, internet connectivity and speed diagnostics, and voice sample recordings. Assessments are provided by DonutJobs or by third-party assessment providers integrated into the Platform. 5.11.2. Voice Sample Consent. Certain Assessments may require the recording, storage, and processing of your voice ("Voice Samples"). By voluntarily participating in any Assessment that involves voice recording, you expressly consent to: (a) the capture and digital recording of your voice; (b) the storage of Voice Samples on DonutJobs' infrastructure or third-party cloud storage providers; (c) the transmission of Voice Samples to Employers as part of your candidate profile; and (d) the retention of Voice Samples for the duration of your account, subject to Section 17. You acknowledge that Voice Samples may constitute biometric data, sensitive personal information, or analogous categories under applicable data protection laws, and you voluntarily and knowingly consent to such processing. You may withdraw consent by deleting your account in accordance with Section 2.7.7, at which point DonutJobs will delete stored Voice Samples within the timeframes described in Section 17. 5.11.3. Assessment results, scores, rankings, and outputs ("Assessment Results") are generated by automated systems and are provided on an "as is" basis. DonutJobs makes no representation or warranty regarding: (a) the accuracy, reliability, or validity of any Assessment or Assessment Result; (b) the correlation between Assessment Results and actual job performance, skill level, or aptitude; or (c) the methodology, scoring algorithm, or evaluation criteria used by any Assessment. 5.11.4. Assessment Results are informational tools only and do not constitute endorsements, certifications, or guarantees of competency. Employers are solely responsible for all hiring decisions and must exercise their own independent judgment. DonutJobs bears no liability for any hiring decision made in reliance on Assessment Results, nor for any employment outcome resulting therefrom. 5.11.5. DonutJobs may modify, discontinue, recalibrate, or replace any Assessment at any time without notice. Changes to Assessments may affect previously generated Assessment Results, and DonutJobs shall have no obligation to recalculate, update, or notify Users of changes to prior results. 5.11.6. To the maximum extent permitted by applicable law, DonutJobs disclaims all liability arising from or related to Assessments, Assessment Results, and Voice Samples, including without limitation: claims of inaccurate scoring, biased evaluation, lost employment opportunities resulting from Assessment Results, unauthorized access to or disclosure of Voice Samples, and claims under biometric data protection statutes (including the Illinois Biometric Information Privacy Act, the Texas Capture or Use of Biometric Identifier Act, the Washington Biometric Identifier statute, and analogous state, federal, or international laws).

5.12. Third-Party Analytics, Tracking, and Advertising Technologies 5.12.1. The Platform uses third-party analytics, tracking, advertising, and customer engagement technologies (collectively, "Third-Party Technologies") to improve the Platform, analyze usage patterns, deliver targeted advertisements, and facilitate customer support. Third-Party Technologies currently deployed on the Platform include, without limitation: Meta Pixel (Meta Platforms, Inc.), Google Ads and Google Analytics (Google LLC), PostHog (PostHog, Inc.), Mixpanel (Mixpanel, Inc.), Intercom (Intercom R&D Unlimited Company), and Vercel Speed Insights (Vercel, Inc.). This list may change at any time without notice. 5.12.2. Third-Party Technologies may collect, process, and transmit data about your use of the Platform, including without limitation: pages visited, features used, click patterns, session duration, device identifiers, browser type, IP address, approximate geolocation, referral source, and conversion events. Such data may be transmitted to and processed by third-party servers located in jurisdictions outside your country of residence. 5.12.3. By using the Platform, you acknowledge and consent to the collection and processing of data by Third-Party Technologies as described herein. You further acknowledge that: (a) DonutJobs does not control the data processing practices of third-party technology providers; (b) data transmitted to third parties is subject to the respective privacy policies and terms of service of those third parties, not these Terms; and (c) DonutJobs bears no responsibility for any data processing, storage, sharing, or breach by third-party technology providers. 5.12.4. You may limit certain tracking through browser settings, ad-blocking extensions, or opt-out mechanisms provided by third-party technology providers (such as the Digital Advertising Alliance opt-out at aboutads.info or the Network Advertising Initiative opt-out at networkadvertising.org). However, disabling tracking technologies may impair Platform functionality. 5.12.5. To the maximum extent permitted by applicable law, DonutJobs disclaims all liability arising from or related to the collection, processing, transmission, storage, or breach of data by Third-Party Technologies, including claims under data protection statutes, consumer protection laws, or wiretapping and electronic surveillance laws.

5.13. Chat Communications and File Attachments 5.13.1. The Platform provides messaging and file-sharing features ("Chat") that enable Users to communicate and exchange files ("Attachments") in connection with job listings, applications, and hiring workflows. Chat messages and Attachments are stored on DonutJobs' infrastructure and are accessible to the sender, the recipient, and authorized Team Members of the recipient's organization (see Section 5.9). 5.13.2. Attachments are stored using secure, access-controlled storage with time-limited access URLs. DonutJobs implements reasonable technical measures to protect stored Attachments; however, DonutJobs does not guarantee the security, integrity, or availability of any Attachment and shall not be liable for any loss, corruption, unauthorized access, or deletion of Attachments. 5.13.3. DonutJobs may implement automatic file retention and purge policies. Attachments may be permanently deleted after a defined retention period (currently thirty (30) days from upload, subject to change without notice). Users are solely responsible for downloading and retaining copies of any Attachments they wish to preserve beyond the retention period. DonutJobs shall have no liability for Attachments deleted pursuant to its retention policies. 5.13.4. You are solely responsible for the content of your Chat messages and Attachments. You represent and warrant that you have all necessary rights to transmit any Attachment and that no Attachment contains: (a) malware, viruses, or malicious code; (b) content that infringes any third-party intellectual property right; (c) sensitive personal information that you are not authorized to share; or (d) content that violates the Acceptable Use Policy (Section 6). 5.13.5. DonutJobs does not monitor, screen, or review Chat messages or Attachments, except as required by law or as necessary to enforce these Terms. DonutJobs reserves the right to remove or disable access to any Attachment that violates these Terms or applicable law. 5.13.6. To the maximum extent permitted by applicable law, DonutJobs disclaims all liability arising from or related to Chat and Attachments, including without limitation: claims arising from lost, corrupted, or deleted files; unauthorized access to or disclosure of Attachments by Team Members or other authorized Users; transmission of malware or malicious files by Users; and reliance on the availability or persistence of stored Attachments.

6. Acceptable Use Policy

6.1. Users shall not use the Platform to: (a) Post false, misleading, or fraudulent job listings or candidate profiles; (b) Engage in, facilitate, or promote human trafficking, forced labor, debt bondage, or any form of modern slavery; (c) Solicit or facilitate illegal employment arrangements; (d) Post job listings with exploitative terms, including but not limited to: compensation substantially below market rates for the role and jurisdiction, requirements for excessive working hours without adequate compensation, confiscation of identity documents, or restrictions on the Jobseeker's freedom of movement or communication; (e) Harass, threaten, abuse, or intimidate any other User; (f) Distribute malware, spam, or unsolicited commercial communications; (g) Scrape, crawl, or use automated means to extract data from the Platform without prior written consent; (h) Attempt to circumvent security features, access controls, or usage limits; (i) Impersonate any person or entity, or misrepresent affiliation with any person or entity; (j) Use the Platform for any purpose that violates applicable law; or (k) Facilitate or encourage any of the foregoing by a third party. 6.2. DonutJobs reserves the right to investigate suspected violations of this Acceptable Use Policy and to take any action it deems appropriate, including without limitation: issuing warnings, suspending or terminating accounts, removing content, reporting activity to law enforcement, and cooperating with legal authorities. 6.3. If you become aware of any violation of this Acceptable Use Policy, you are encouraged to report it to hello@donutjobs.work. 6.4. DonutJobs maintains a zero-tolerance policy regarding human trafficking, forced labor, and exploitation. DonutJobs reserves the right to: (a) implement identity verification or enhanced due diligence measures for Employers at its sole discretion; (b) cooperate with law enforcement agencies investigating suspected trafficking, exploitation, or illegal labor practices; (c) report suspected violations to relevant authorities, including but not limited to the U.S. Department of Homeland Security, the Philippine Department of Justice, the Philippine Department of Labor and Employment (DOLE), and INTERPOL; (d) immediately suspend or terminate any account associated with suspected trafficking or exploitation without prior notice or liability; and (e) review and reject job postings that, in DonutJobs' sole judgment, contain terms indicative of exploitative employment arrangements. 6.5. You represent and warrant that: (a) you are not located in, organized under the laws of, or a resident of any country or territory subject to comprehensive U.S. sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b) you are not identified on any U.S. government restricted party list, including the OFAC Specially Designated Nationals and Blocked Persons List; and (c) you will not use the Platform in violation of any applicable export control or sanctions laws.

7. No Employment Guarantee; Assumption Of Risk

7.1. DonutJobs does not guarantee any outcome from use of the Platform, including without limitation: (a) That any Employer will receive qualified candidates or make a hire; (b) That any Jobseeker will receive an offer of employment or engagement; (c) The quality, reliability, legality, or suitability of any User; (d) The accuracy or completeness of any User-submitted information; (e) The duration or terms of any employment relationship; or (f) Compliance with law by any User. 7.2. Users engage with other Users through the Platform at their own risk. You acknowledge that hiring and employment involve inherent risks, including the risk of fraud, misrepresentation, non-performance, and legal disputes. You voluntarily assume all risks arising from your use of the Platform and any interactions with other Users. 7.3. DonutJobs is not a party to any dispute between Users. In the event of a dispute between an Employer and a Jobseeker, or between any Users, you agree to resolve such dispute directly with the other User. You release DonutJobs and the Indemnified Parties from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

8. Cross-Border Use And Jurisdictional Compliance

8.1. The Platform is accessible globally. Users located outside the United States acknowledge and agree that the Platform is operated from the United States and that their data may be processed and stored in the United States. 8.2. Users are solely responsible for compliance with all laws and regulations applicable to them in their jurisdiction of residence, including but not limited to labor laws, tax laws, data protection laws, and import/export restrictions. 8.3. DonutJobs makes no representation that the Platform or Services are appropriate or available for use in any particular jurisdiction. Users who access the Platform from outside the United States do so on their own initiative and are responsible for compliance with local laws. 8.4. Nothing in these Terms shall be construed to override mandatory consumer protection, labor, or data protection laws applicable to Users in their jurisdiction of residence to the extent such laws cannot be waived by contract ("Mandatory Local Law"). In the event of a conflict between these Terms and Mandatory Local Law, the Mandatory Local Law shall prevail, but only to the minimum extent necessary to resolve the conflict, and all other provisions of these Terms shall remain in full force and effect.

9. Philippine Data Privacy Act Compliance

9.1. DonutJobs acknowledges that a significant portion of its Jobseeker Users are residents of the Republic of the Philippines. This Section 9 provides additional disclosures and rights specific to Users who are data subjects under Republic Act No. 10173, the Data Privacy Act of 2012 ("DPA"), and its Implementing Rules and Regulations ("IRR"). 9.2. For purposes of the DPA, DonutJobs acts as a personal information controller with respect to Jobseeker personal data collected and processed through the Platform. The legal bases for processing are: (a) the consent of the data subject, obtained at registration and through acceptance of these Terms; (b) the necessity of processing for the performance of a contract to which the data subject is a party (i.e., these Terms); and (c) the legitimate interests of DonutJobs in operating the Platform and the Talent Pool, provided such interests are not overridden by the fundamental rights and freedoms of the data subject. 9.3. Categories of personal data collected and processed include, but are not limited to: name, email address, professional title, skills, work experience, education, location, language proficiency, assessment scores, IP address, device information, and usage data. Sensitive personal information (as defined in Section 3(l) of the DPA) is not intentionally collected; however, Users are advised not to submit sensitive personal information in free-text profile fields. 9.4. Philippine data subjects have the following rights under the DPA, which DonutJobs will honor to the extent required by law: (a) Right to be Informed: You have the right to be informed of the collection and processing of your personal data, including the purposes, scope, and method of processing, which are described in these Terms and the Privacy Policy; (b) Right to Access: You have the right to request access to your personal data held by DonutJobs, including the manner in which it was processed and the recipients to whom it has been disclosed; (c) Right to Object: You have the right to object to the processing of your personal data, including processing for direct marketing, automated processing, or profiling. If you object to inclusion in the Talent Pool, you may exercise this right by deleting your account as described in Section 2.7.7; (d) Right to Erasure or Blocking: You have the right to request the erasure, blocking, or destruction of your personal data if it is incomplete, outdated, false, or unlawfully obtained, or if it is no longer necessary for the purposes for which it was collected; (e) Right to Rectification: You have the right to request correction of inaccurate or incomplete personal data. You may update your Jobseeker Profile at any time through your account settings; (f) Right to Data Portability: You have the right to obtain your personal data in a structured, commonly used, and machine-readable format, and to transmit that data to another controller where technically feasible; and (g) Right to Damages: You have the right to be indemnified for damages sustained due to inaccurate, incomplete, outdated, false, unlawfully obtained, or unauthorized use of your personal data, as provided under the DPA. 9.5. To exercise any of the above rights, Philippine data subjects may contact DonutJobs at hello@donutjobs.work with the subject line "DPA Rights Request." DonutJobs will respond to valid requests within thirty (30) days, or such shorter period as required by the DPA or NPC issuances. 9.6. DonutJobs acknowledges the authority of the Philippine National Privacy Commission ("NPC") with respect to the processing of personal data of Philippine data subjects, regardless of DonutJobs' place of incorporation. Nothing in these Terms shall be construed to limit the jurisdiction or authority of the NPC. 9.7. In the event of a personal data breach (as defined in the DPA) affecting Philippine data subjects, DonutJobs will notify the NPC and affected data subjects within the timeframes and in the manner prescribed by the DPA and NPC Circular 16-03 (or any successor issuance).

10. Subscription, Payments, And Billing

10.1. Certain features of the Platform require a paid subscription. Subscription plans, pricing, and features are described on the Platform and may be updated from time to time. 10.2. Renewal and Cancellation. 10.2.1. Subscriptions renew automatically until cancelled. 10.2.2. Where a subscription has no Minimum Term (as defined in Section 10.8), it renews at the end of each Billing Period, and you may cancel at any time, with cancellation taking effect at the end of the then-current Billing Period. 10.2.3. Where a subscription has a Minimum Term, Section 10.8 governs its renewal, cancellation, and modification, and prevails over this Section 10.2 to the extent of any conflict. 10.2.4. You may cancel through your account settings, by contacting hello@donutjobs.work, or through any self-service billing portal we make available. A cancellation request takes effect in accordance with these Terms regardless of the method or interface used to submit it, and DonutJobs may adjust or decline a cancellation submitted through a third-party interface so that it takes effect on the date required by Section 10.8. 10.3. Payment processing is handled by Stripe, Inc. ("Payment Processor"). By subscribing, you agree to Stripe's terms of service in addition to these Terms. DonutJobs does not store full credit card numbers or payment credentials on its own servers. 10.4. All fees are non-refundable except: (a) as expressly stated in a Refund Policy; (b) as required by applicable law, including mandatory cooling-off or cancellation rights under consumer protection legislation in your jurisdiction (including, for Philippine Users, applicable provisions of the Consumer Act of the Philippines, Republic Act No. 7394, and relevant Department of Trade and Industry regulations); or (c) at DonutJobs' sole discretion. 10.5. You agree to: (a) provide accurate and current billing information; (b) promptly update billing information if it changes; (c) pay all charges incurred under your account; and (d) bear responsibility for any chargebacks, reversals, or payment disputes initiated by you or on your behalf. 10.6. Chargebacks or fraudulent payment disputes may result in immediate account suspension or termination, and DonutJobs reserves the right to pursue collection of any amounts owed, including reasonable attorneys' fees and collection costs. 10.7. Upon account suspension or termination due to payment disputes, all active job listings will be deactivated and candidate access to associated communications may be restricted. DonutJobs shall have no liability to any User for disruptions to hiring processes, communications, or employment opportunities resulting from account suspension or termination under this Section.

10.8. Minimum Term Plans 10.8.1. Definitions. In these Terms: (a) "Billing Period" means the recurring interval at which fees for your subscription are charged. (b) "Minimum Term" means a committed minimum duration for a subscription, as displayed to you at the point of purchase. (c) "Minimum Term Plan" means any subscription purchased with a Minimum Term. (d) "Committed Rate" means the per-Billing-Period fee applicable to a Minimum Term Plan, which remains fixed for the duration of the Minimum Term to which it relates. 10.8.2. Billing Period and Minimum Term are independent. A Minimum Term Plan is charged in instalments at each Billing Period. THE BILLING PERIOD DOES NOT DETERMINE THE LENGTH OF YOUR COMMITMENT, AND THE END OF A BILLING PERIOD IS NOT THE END OF YOUR MINIMUM TERM. Unless expressly stated at the point of purchase, a Minimum Term Plan is not prepaid: you pay for it over the course of the Minimum Term rather than in advance. 10.8.3. Your commitment. By purchasing a Minimum Term Plan you agree to pay the Committed Rate for every Billing Period falling within the Minimum Term. The Committed Rate is offered in consideration of that commitment and is lower than the rate applicable to an equivalent subscription without a Minimum Term. 10.8.4. Cancellation. You may request cancellation of a Minimum Term Plan at any time. A CANCELLATION REQUEST DOES NOT TAKE EFFECT IMMEDIATELY, DOES NOT STOP OR REDUCE THE FEES PAYABLE FOR THE REMAINDER OF THE MINIMUM TERM, AND DOES NOT SHORTEN THE MINIMUM TERM. On receipt of a cancellation request: (a) your subscription is scheduled to terminate at the end of the current Minimum Term; (b) you remain liable for the Committed Rate for each Billing Period until that date; (c) your access continues, unchanged, until that date; and (d) no early-termination fee, accelerated balance, or other additional charge is applied, and the instalments falling due before the end of the Minimum Term are your only remaining obligation. By way of illustration only: on a six-month Minimum Term billed monthly, a cancellation requested during the fourth month takes effect at the end of the sixth month, and the fifth and sixth instalments remain payable. 10.8.5. Renewal. If a Minimum Term Plan is not cancelled before its Minimum Term ends, it renews automatically for a further Minimum Term of the same length as the one that has just ended, at the same Committed Rate. Section 10.8.4 applies to each renewed Minimum Term, so a cancellation requested during a renewed Minimum Term takes effect at the end of that renewed Minimum Term. 10.8.6. Restricted changes during a Minimum Term. While a Minimum Term is running you may not pause or suspend your subscription, transfer it, downgrade it, or otherwise take any action that reduces the fees payable for the remainder of that Minimum Term. This restriction applies irrespective of the interface or method used, including any self-service billing portal operated by DonutJobs or by its Payment Processor, and DonutJobs may reverse, adjust, or decline any change that would otherwise have that effect. These options become available once the Minimum Term has ended. 10.8.7. Upgrades. You may at any time change to a plan with a higher recurring fee. Unless DonutJobs states otherwise at the point of change, doing so commences a new Minimum Term for the plan you move to. 10.8.8. Non-payment. Failure to pay an instalment does not terminate, suspend, or shorten the Minimum Term, and does not release you from Section 10.8.3. Sections 10.5 and 10.7 apply to any outstanding amount, and DonutJobs may suspend access while it remains unpaid. 10.8.9. Refunds. Amounts already paid under a Minimum Term Plan are non-refundable except as expressly provided in our Refund Policy or as required by Mandatory Local Law. 10.8.10. Plans without a Minimum Term. Subscriptions and other purchases sold without a Minimum Term, including any plan sold as a single payment for a fixed period and any plan whose commitment is coextensive with its Billing Period, are not Minimum Term Plans. They are governed by Section 10.2.2 and by the terms disclosed at their point of purchase, and are unaffected by this Section 10.8. 10.8.11. Consumers. Where you contract with DonutJobs as a consumer rather than in the course of a business, and mandatory consumer-protection law in your jurisdiction restricts fixed-term commitments, automatic renewal, or the timing of cancellation, that law prevails over this Section 10.8 to the extent of any conflict, including any requirement that a renewed Minimum Term be terminable on shorter notice.

11. Intellectual Property

11.1. All content, software, code, designs, trademarks, logos, and other intellectual property associated with the Platform ("DonutJobs IP") are the exclusive property of Insight Agency UG or its licensors and are protected by applicable intellectual property laws. 11.2. Subject to your compliance with these Terms, DonutJobs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. 11.3. You may not: (a) Copy, reproduce, modify, or create derivative works of any DonutJobs IP; (b) Reverse engineer, decompile, or disassemble any Platform software; (c) Scrape, harvest, or systematically extract data from the Platform; (d) Resell, sublicense, or redistribute access to the Platform or its data; (e) Remove or alter any proprietary notices or labels; or (f) Use DonutJobs IP for competitive purposes. 11.4. Users retain ownership of content they submit to the Platform ("User Content"). By submitting User Content, you grant DonutJobs a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, display, reproduce, distribute, modify, and create derivative works of such content for the purposes of: (a) operating, providing, and maintaining the Platform; (b) making Public Data publicly accessible as described in Section 2.5; (c) operating the Talent Pool as described in Section 2.7; (d) enabling search engine indexing of public Platform pages; (e) generating anonymized or aggregated data for analytics, reporting, benchmarking, and marketing purposes; and (f) improving the Platform and developing new features. This license survives termination of your account with respect to anonymized or aggregated data that can no longer be attributed to you individually. 11.5. Unauthorized use of DonutJobs IP may result in termination of your account and may give rise to civil and criminal liability. 11.6. DMCA Takedown Procedure. If you believe that content on the Platform infringes your copyright, you may submit a notification under the Digital Millennium Copyright Act (17 U.S.C. Section 512) to our designated agent at hello@donutjobs.work. Your notification must include: (a) identification of the copyrighted work; (b) identification of the infringing material and its location on the Platform; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; (e) a statement, under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or authorized to act on their behalf; and (f) your physical or electronic signature. DonutJobs will respond to valid takedown notices in accordance with applicable law.

12. Disclaimer Of Warranties

12.1. To the maximum extent permitted by applicable law, the Platform and Services are provided "as is" and "as available," without warranty of any kind, whether express, implied, statutory, or otherwise. 12.2. DonutJobs expressly disclaims all implied warranties, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and freedom from viruses or other harmful code. 12.3. Without limiting the foregoing, DonutJobs does not warrant or represent that: (a) The Platform will be uninterrupted, error-free, or secure; (b) Defects will be corrected; (c) Any User Content is accurate, complete, truthful, or reliable; (d) Any User's identity, background, credentials, or legal status has been verified; or (e) The Platform is suitable for any particular use or compliant with any particular law. 12.4. This disclaimer does not affect any warranties that cannot be excluded or limited under Mandatory Local Law. 12.5. Certain features of the Platform may be designated as "beta," "experimental," "early access," or similar. Such features are provided for evaluation purposes only, without any warranty whatsoever, and may be modified, suspended, or discontinued at any time without notice. DonutJobs shall have no liability arising from your use of or reliance on beta features. 12.6. Without limiting the generality of Sections 12.1 through 12.5, DonutJobs makes no warranty regarding the security or integrity of Public Data. Public Data is accessible on the open internet and is inherently subject to risks including unauthorized copying, scraping, redistribution, and misuse. You acknowledge that no reasonable security measure can prevent all unauthorized access to publicly available information, and you waive any claim against DonutJobs relating to third-party access to or use of Public Data.

13. Limitation Of Liability

13.1. To the maximum extent permitted by applicable law, in no event shall Insight Agency UG, its officers, directors, members, employees, agents, affiliates, or licensors be liable for any: (a) Indirect, incidental, special, consequential, or punitive damages; (b) Loss of profits, revenue, data, business opportunities, or goodwill; (c) Employment disputes, wrongful termination claims, or discrimination claims; (d) Worker misclassification or wage claims; (e) Immigration violations or penalties; (f) Damages arising from third-party conduct, including conduct of other Users; (g) Damages arising from unauthorized access to or alteration of your data; or (h) Loss, exposure, or misuse of Public Data by any third party, including data accessed from publicly available Platform pages; regardless of the legal theory (whether contract, tort, negligence, strict liability, or otherwise) and regardless of whether DonutJobs has been advised of the possibility of such damages. 13.2. To the maximum extent permitted by applicable law, DonutJobs' total aggregate liability for all claims arising out of or related to these Terms or the Platform shall be limited as follows: (a) For Users who have paid fees to DonutJobs in the twelve (12) months immediately preceding the event giving rise to the claim: liability shall not exceed the total amounts paid by such User to DonutJobs during that twelve (12) month period; (b) For Users who have not paid any fees to DonutJobs in the twelve (12) months immediately preceding the event giving rise to the claim: liability shall not exceed ten United States Dollars (USD $10.00). 13.3. The limitations in this Section 13 are fundamental elements of the bargain between you and DonutJobs and reflect the allocation of risk between the parties. DonutJobs would not provide the Platform without these limitations. This Section 13 does not limit liability to the extent such limitation is prohibited by Mandatory Local Law.

14. Indemnification

14.1. You agree to defend, indemnify, and hold harmless Insight Agency UG, its officers, directors, members, employees, agents, and affiliates (collectively, "Indemnified Parties") from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) Your use of the Platform; (b) Any employment or engagement relationship between you and another User; (c) Discrimination, harassment, or retaliation claims; (d) Wage, hour, or benefit disputes; (e) Worker misclassification claims; (f) Immigration law violations; (g) Labor law violations in any jurisdiction; (h) User Content you submit to the Platform; (i) Your violation of these Terms or any applicable law; or (j) Your infringement of any third-party rights. 14.2. DonutJobs reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully with DonutJobs in the defense of any such claim. 14.3. Advancement of Defense Costs. If your conduct results in a third-party claim against any Indemnified Party, you agree to advance reasonable defense costs (including attorneys' fees) to the Indemnified Party within thirty (30) days of written demand. The obligation to advance defense costs is independent of, and not contingent upon, the final resolution of the underlying claim. If the Indemnified Party ultimately determines that indemnification was not warranted, any advanced costs will be returned to you. 14.4. This indemnification obligation survives termination or expiration of these Terms and your use of the Platform.

15. Dispute Resolution And Arbitration

15.1. Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court. 15.2. Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact DonutJobs at hello@donutjobs.work and attempt to resolve the dispute informally for a period of at least thirty (30) days. You agree that you will not initiate arbitration, litigation, or any other formal proceeding until the thirty (30) day informal resolution period has expired. Failure to comply with this requirement shall be grounds for dismissal of any arbitration demand or court filing. 15.3. Binding Arbitration (United States Users). For Users located in or subject to the jurisdiction of the United States: Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, that cannot be resolved informally shall be determined by binding arbitration administered under the Federal Arbitration Act (9 U.S.C. sections 1-16). Arbitration shall be administered by a nationally recognized arbitration provider and shall take place in Cheyenne, Wyoming, or at a location mutually agreed upon by the parties, or remotely via videoconference if permitted by the arbitration provider's rules. The arbitrator shall have exclusive authority to resolve all disputes, including the scope and enforceability of this arbitration agreement. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. For the avoidance of doubt, the arbitration agreement in this Section covers all claims, including claims that would otherwise be eligible for small claims court. 15.4. International Users. For Users located outside the United States: DonutJobs recognizes that mandatory arbitration clauses may not be enforceable in all jurisdictions. To the extent permitted by Mandatory Local Law, disputes shall be resolved through binding arbitration as described in Section 15.3. Where Mandatory Local Law prohibits binding arbitration or grants you the right to bring claims in a local court, such Mandatory Local Law shall prevail, and you may bring claims in the competent courts of your jurisdiction of residence. 15.5. Philippine Users. For Users located in the Philippines: You retain all rights available to you under the DPA to file complaints with the National Privacy Commission. Nothing in this Section 15 shall be construed to require arbitration of complaints filed with the NPC or to limit the NPC's jurisdiction. For disputes not related to data privacy, the provisions of Section 15.4 apply. 15.6. Jury Trial Waiver. To the fullest extent permitted by applicable law, you and DonutJobs each waive the right to a trial by jury in any court proceeding arising out of or relating to these Terms or the Platform. 15.7. Class Action, Collective Action, and Representative Action Waiver. To the fullest extent permitted by applicable law, all disputes shall be resolved on an individual basis. You waive the right to participate in any class, collective, consolidated, representative, or private attorney general action or proceeding, whether in arbitration or in court. This waiver applies to all claims under any legal theory, including but not limited to claims brought under the California Private Attorneys General Act (Cal. Lab. Code Section 2698 et seq.) or any similar statute in any jurisdiction. If this waiver is found unenforceable in any jurisdiction, the entirety of this arbitration agreement shall be void solely with respect to claims in that jurisdiction, and such claims shall proceed in a court of competent jurisdiction. 15.8. Fee Shifting for Unmeritorious Claims. If you initiate arbitration or legal proceedings against DonutJobs and the arbitrator or court determines that your claims are without substantial merit (including, without limitation, claims found to be frivolous, brought in bad faith, or lacking a reasonable basis in law or fact), you agree to reimburse DonutJobs for all reasonable attorneys' fees, arbitration fees, administrative costs, and expenses incurred in defending against such claims. This provision does not apply to claims brought in good faith that are ultimately unsuccessful, and shall not be construed to discourage the legitimate exercise of legal rights. 15.9. Exclusive Venue. Any dispute, claim, or proceeding arising out of or relating to these Terms that is not subject to binding arbitration (including proceedings permitted under Section 15.10 and claims where arbitration is unenforceable under Mandatory Local Law) shall be brought exclusively in the state or federal courts located in Laramie County, Wyoming. You irrevocably consent to the personal jurisdiction and venue of such courts for any such proceeding. 15.10. Counterclaim Jurisdiction. By using the Platform, you consent to personal jurisdiction in the state and federal courts of Laramie County, Wyoming for any counterclaim, cross-claim, or third-party claim brought by DonutJobs in connection with any dispute arising from these Terms or your use of the Platform, regardless of the forum in which the original claim was filed. 15.11. Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief, or other equitable relief, in any court of competent jurisdiction to prevent irreparable harm pending the completion of arbitration. Such action shall not constitute a waiver of the right to arbitrate the underlying dispute.

16. Limitation Period

16.1. To the maximum extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms or the Platform must be filed within six (6) months after the date on which the cause of action arose. Failure to file within that period shall constitute a permanent and irrevocable waiver of such claim. You acknowledge that this limitation period is shorter than the statute of limitations that might otherwise apply, and you expressly agree to this shortened period as a material term of these Terms. 16.2. This limitation period does not apply where Mandatory Local Law prescribes a longer minimum limitation period that cannot be contractually shortened.

17. Data Retention And Deletion

17.1. DonutJobs retains User personal data for as long as the User maintains an active account on the Platform, and for such additional period as is necessary to comply with legal obligations, resolve disputes, and enforce these Terms. 17.2. Upon account deletion by a Jobseeker: (a) the Jobseeker Profile will be removed from public visibility and the active Talent Pool within thirty (30) days; (b) personal data will be deleted or anonymized within ninety (90) days, except as otherwise required by law or as described in this Section; (c) communications between the Jobseeker and Employers will be retained for a period of twelve (12) months following account deletion for the purpose of supporting ongoing hiring processes and resolving potential disputes, after which they will be deleted or anonymized; and (d) anonymized or aggregated data that can no longer be attributed to the individual may be retained indefinitely. 17.3. Upon account deletion by an Employer: (a) active job listings will be deactivated immediately; (b) personal data will be deleted or anonymized within ninety (90) days, except as otherwise required by law; and (c) communications with Jobseekers will be retained as described in Section 17.2(c). 17.4. DonutJobs may retain personal data beyond the periods specified in this Section where required by applicable law, court order, or regulatory directive, or where retention is necessary for the establishment, exercise, or defense of legal claims. 17.5. You may request information about the specific retention periods applicable to your data by contacting hello@donutjobs.work.

18. Account Deletion And Release

18.1. DonutJobs may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, violation of the Acceptable Use Policy, non-payment, suspected fraud, or legal or regulatory requirements. 18.2. Upon termination: (a) your right to access and use the Platform ceases immediately; (b) you remain liable for all obligations incurred prior to termination; (c) data retention and deletion will proceed as described in Section 17; and (d) Sections 11 through 23 of these Terms shall survive termination. 18.3. DonutJobs shall not be liable to you or any third party for any suspension or termination of your account. 18.4. Account Deletion Release. By voluntarily deleting your account, you acknowledge and agree that you release and forever discharge Insight Agency UG, its officers, directors, members, employees, agents, and affiliates from any and all claims, demands, damages, losses, liabilities, and causes of action, whether known or unknown, suspected or unsuspected, that arise from or relate to your use of the Platform, the processing of your personal data during the period your account was active, the inclusion of your data in the Talent Pool, or any interaction with other Users facilitated by the Platform. This release does not apply to: (a) claims arising from events occurring after the date of account deletion; (b) claims that cannot be released under Mandatory Local Law; or (c) rights under the Philippine Data Privacy Act, the GDPR, or other applicable data protection law that cannot be waived by contract. If you are a California resident, you expressly waive California Civil Code Section 1542 in connection with this release.

19. Modifications To Terms

19.1. DonutJobs reserves the right to modify these Terms at any time. Material changes will be communicated by posting updated Terms on the Platform with a revised "Effective Date" and, where practicable, by providing notice via email or in-platform notification at least fourteen (14) days before the changes take effect. 19.2. Material changes to the Talent Pool provisions (Section 2.7), the Philippine Data Privacy provisions (Section 9), or the Data Retention provisions (Section 17) will require affirmative consent from affected Users where required by Mandatory Local Law. 19.3. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform and, if applicable, cancel your subscription.

20. Severability

20.1. If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. 20.2. Without limiting the generality of Section 20.1, if any limitation of liability, damages cap, limitation period, arbitration provision, class action waiver, or fee-shifting provision in these Terms is found unenforceable, the remaining protective provisions shall continue in full force and effect independently. The parties intend each such provision to be separately enforceable.

21. Governing Law

21.1. These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of laws principles. 21.2. For Users located outside the United States, the choice of Wyoming law does not deprive you of the protection afforded by provisions of Mandatory Local Law that cannot be derogated from by agreement.

22. General Provisions

22.1. Entire Agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any supplemental terms, constitute the entire agreement between you and DonutJobs with respect to the Platform and supersede all prior or contemporaneous communications, agreements, and understandings. 22.2. Assignment. DonutJobs may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer these Terms or any rights hereunder without DonutJobs' prior written consent. 22.3. Waiver. The failure of DonutJobs to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. 22.4. Notices.
